Commentary & Deal Flow

Sysco Holdings Corporation and Sysco Corporation (together, "Sysco", Country: US), with expected ratings of Baa3 (Stable) / BBB (Negative) / BBB (Negative) by Moody's, S&P and Fitch, respectively, have mandated Goldman Sachs & Co. LLC and TD Securities as Global Coordinators and, together with BofA Securities, as Joint Book-Running Managers on all potential offerings, and J.P. Morgan, and Wells Fargo Securities as Joint Book-Running Managers on any potential USD and EUR offerings, to arrange a series of fixed income investor calls on Monday, September 21st . An electronic presentation with voiceover recording and preliminary prospectus supplements have been made available.

A USD-denominated, SEC Registered, senior unsecured offering of USD 3-, Short 5-, 7-, Short 10-, 20-, 30-, 40-year fixed rate notes and junior subordinated offering of USD 30NC5.25, 30NC7, and 30NC10 notes may follow, subject to market conditions.

A CAD-denominated, SEC Registered, senior unsecured offering of CAD 4- and 8-year fixed rate notes may follow, subject to market conditions.

A EUR-denominated, SEC Registered, junior subordinated offering of EUR 30NC6 notes may follow, subject to market conditions. Relevant stabilization regulations including FCA/ICMA will apply.

The senior notes are expected to be rated Baa3 / BBB / BBB and the junior subordinated notes are expected to be rated Ba1 / BB+ / BB+, in each case by Moody's, S&P and Fitch, respectively.

Goldman Sachs & Co. LLC is coordinating logistics for USD and EUR. TD Securities is coordinating logistics for CAD.
