HY CLOSE: Two USD Deals Price as Secondary Rally Extends

HYC US Market: Commentary - GeneralHYC US Market: Commentary - CloseHYC European Market: Commentary - GeneralHYC European Market: Commentary - Close

After announcing three deals yesterday, the US high yield primary market remained steady with one new deal announced for pricing later this week and two other deals from the calendar priced today.

Priced today in the US high yield new issue market were  ZF North America Capital Inc $800m (up from $500m) 5yNCL sr notes, priced 8.375% at 100 (vs price talk of 8.50% area and IPT of high 8s); and Bison Oil & Gas IV LLC $600m 5yNC2 sr notes, priced 8.50% at 100 (vs revised price talk of 8.50%-8.625%, price talk 8.75% area, and IPT of high 8s-9%).

After doing virtual small group meetings last week, Bending Spoons announced a US$1.5bn equivalent (US$/EUR) 5yNC2 sr sec notes two-part, consisting of Bending Spoons Operations SpA EUR (US$500m equivalent) (IPT low 9s) and Bending Spoons US Inc US$1bn (IPT low 10s) tranches, pricing Thursday.

In addition to Bending Spoons a mandate was announced in the European high yield new issue market this morning. HIME SAS (Saur) has mandated banks to arrange a series of investor calls today. A EUR500m long 5yNCL Reg S blue sr notes deal is expected to follow.

We are taking one M&A high yield financing deal off the high yield forward calendar. Curium US Holdings LLC will not be issuing bonds to possible bonds to fund the acquisition of Lantheus Holdings Inc (LNTH) for $102.50 per share in cash, plus another potential CVR of $12 per share or potential total consideration of approx $8bn. $7.45bn total funds will be needed to complete the merger, consisting of $4.25bbn sr sec term loan B; $1.135bn sr PIK facility; and $2.346m in cash equity from  CapVest. JPM/Jefferies are leading the debt financing. Jefferies is lead financial advisor to Curium, along with JPM and PTT Partners. Closing is expected in Q2 2027. Equity sponsor: CapVest Partners. Biz: a leading global radiopharmaceutical company. HQ: Bedford, MA. (Acquisition announced 08/03/2026).

With two deals (two tranches) for $1.4bn priced today, and at least another $3.2bn on the calendar for this week, the priced pending volume for the week will reach the top range of this week’s syndicate desk estimates of $2bn-$5bn (equally distributed in that range). Our guess was $4bn.

At $11.565bn, the US high yield primary market is only a billion away from the bottom end of this month’s syndicate desk estimates of $12.5bn to $25bn (almost equally distributed in that range). Our guess was $20bn.
